1. Nuvinor Fabrics: Commercial Terms for Trade Buyers
These Terms & Conditions govern the commercial relationship between Nuvinor Fabrics (seller) and trade buyers (purchaser), establishing the foundation for all transactions unless alternate written agreements are explicitly in place. Placing an order confirms acceptance of these terms.

2. Ordering and Minimum Order Quantity
Orders must comply with the applicable MOQ for the selected fabric SKU, which is detailed in product documentation and varies by complexity. Orders failing to meet the MOQ may be rejected or incur additional charges. Customized MOQs can be negotiated for ongoing supply relationships through written agreements signed by authorized representatives.

3. Price, Quotation, and Payment
Prices are stated in formal quotations, exclusive of taxes and freight unless noted otherwise. Quotation price validity is specified. New buyers typically require advance payment or a deposit to initiate production. Established buyers may be extended credit facilities following verification and execution of documented credit terms. Payment instruments include bank transfers, demand drafts, and documentary credits. Payment timelines and deposit requirements are clearly defined in sales contracts.

4. Delivery, Dispatch, and Risk Transfer
Goods are dispatched within agreed lead times, which accommodate stock and production schedules. Large consignments may be partially shipped and invoiced separately. Goods risk transfers to the buyer upon dispatch, unless a different Incoterm or contractual arrangement is specified. Buyers are responsible for import duties, local taxes, and customs clearance for international shipments.

5. Inspection, Claims, and Returns
Buyers must inspect goods upon receipt and report any claim (damage, shortage, or non-conformity) within the specified claim window detailed in sales documents. Claims require supporting evidence (photographs, batch details). Following verification, Nuvinor Fabrics will propose remediation: replacement, credit, or refund. Unsubstantiated claims may affect commercial terms.

Limitation of liability and indemnity
Nuvinor Fabrics’ liability for claims arising from defects or supply issues is strictly limited to the value of the affected goods. The seller is not liable for indirect or consequential losses, such as lost profits or business interruption, unless mandated by statute. Buyers indemnify Nuvinor Fabrics against claims arising from fabric misuse, improper handling, or unauthorized modifications.

7. Governing law and dispute resolution
These terms are governed by Indian law, with disputes subject to the jurisdiction of Delhi courts unless otherwise agreed in writing. Parties are encouraged to pursue amicable resolution through mediation before initiating formal legal proceedings.
